Coursera to acquire Udemy in $2.5 billion all-stock deal

In a landmark move for the digital education industry, Coursera announced Wednesday that it has reached a definitive agreement to acquire rival Udemy. The all-stock transaction values ​​the combined entity at approximately $2.5 billion, signaling a major consolidation as the industry shifts towards corporates artificial intelligence training.

Trading Conditions and Market Reaction

According to the terms of the agreement, Udemy Shareholders will receive 0.8 Coursera shares for each share they own. The deal implies a purchase price of approximately $6.35 per Udemy share; This is a 26% premium over the 30-day average closing price.

Wall Street reacted harshly to the merger news.

Udemy shares rose nearly 28% in intraday trading.

Coursera shares rose nearly 8% as investors weighed the benefits of increased scale.

The merger is expected to be completed in the second half of next year, pending regulatory and shareholder approvals.

The consolidation comes amid a challenging year for EdTech. Despite the hype surrounding artificial intelligence, investors remain skeptical about the industry’s growth potential. Before the announcement, Udemy shares had lost 35% of their value since the beginning of the year, and Coursera had lost 7% of their value.

Executives at both firms said the combined scale would enable annual cost synergies of $115 million within 24 months and better position the company to withstand competition and pricing pressures in a crowded digital landscape.

Strategic Shift Towards Artificial Intelligence

The deal marks the end of the long-running rivalry and reflects a broader industry shift. As the post-pandemic surge in individual consumer sign-ups fades, both companies have pivoted to “Enterprise” customers, selling subscription-based training to corporations and governments.

The new entity aims to dominate the “reskilling” market by joining forces. Key focus areas include:

Generative AI: Integrating Udemy’s massive marketplace of independent instructors with Coursera’s university-backed credentials to create a comprehensive AI literacy platform.

  • Software Development and Data Science: Capturing corporate demand for technical workforce training.
  • Income Stability: Shifting from one-off course sales to predictable, high-margin enterprise subscriptions.

In July, Coursera appointed Ashutosh Gupta as General Manager, India and Asia Pacific.

“His understanding of public-private partnerships and track record of scaling regional businesses will be critical as we help institutions in the region navigate rapid change and prepare their communities for an AI-driven future,” said Karine Allouche, Managing Director of Coursera Enterprise.

With over two decades of experience, Gupta served as an Operating Partner at Avataar Ventures before this role. He also served as Country Manager at LinkedIn India and held senior positions at Google, Cognizant and Infosys.
