Arvind Fashions to acquire 31.25% stake of Flipkart in Arvind Youth Brands for ₹135 cr
New Delhi: Arvind Fashions Ltd on Monday announced that it will acquire Flipkart group’s 31.25 per cent stake in Arvind Youth Brands Pvt Ltd. ₹135 crore.
Arvind Youth Brands Pvt Ltd (AYBPL) is currently engaged in wholesale and retail of clothing and accessories under the brand name ‘Flying Machine’. had turnover ₹432.16 crore in the financial year ending March 31, 2025, the company said in a regulatory filing.
Flying Machine has re-established itself as a recognized brand on digital channels in the last five years. The partnership with the Flipkart group has helped Flying Machine become one of the top casual wear brands on digital platforms, appealing to India’s fashion-conscious youth, it said in a separate filing.
“Our association with the Flipkart group will continue to enable consumers to purchase Flying Machine on their platform. The brand will also be available to consumers on other digital channels and portals,” said Amisha Jain, Managing Director and CEO, Arvind Fashions Ltd (AFL).
AFL will acquire 31.25 percent of the total shares of AYBPL on a fully diluted basis, which will become 1 share. ₹10 each and 58,95,852 compulsory convertible preference shares (CCPS) ₹The company said they will each be paid $100 upon completion of the transaction, which is expected to be completed on December 29, 2025.
AFL added that after the acquisition, AYBPL will become a wholly owned subsidiary of the company.
