Honasa to acquire 58% stake in nutraceutical company Fluence Pharma

Beauty and personal care company Honasa Consumer Ltd holds a 58% stake in Fluence Pharma, a science-backed nutraceutical company. 135 crore.

Honasa, which sells brands such as Mamaearth and Aqualogica, will acquire the remaining 42% stake in two tranches over the next 5-7 years with a predetermined valuation structure, the company said in a stock exchange filing on Wednesday.

Honasa shares closed up 1% on Tuesday. While it was at 420 on the National Stock Exchange, the benchmark Nifty 50 closed 1.16% lower on Tuesday.

The acquisition of Fluence Pharma, which sells products offering condition- and gender-specific, OTC booster doses for hair and skin conditions under the FACT (Fluence Advanced Cyclic Therapy) brand, marks Honasa’s entry into the high-growth nutraceuticals space, the company said.

Cyclical nutritional therapy involves over-the-counter supplements administered in a structured sequence to maximize effectiveness.

Honasa Consumer, Honasa Health Pvt. He established a subsidiary called. Ltd to leverage the medical practitioner network, consumer insights and digital-first distribution that Fluence has built. The subsidiary will be headed by Dheeraj Nagpal, chief executive officer (CEO) of Honasa Health and co-founder of nutraceutical brand Zingavita.

India’s nutraceutical market is currently overvalued 16,000 crore and is expected to grow at 11%, the company said.

“While the past decade has been shaped by topical actives, we believe the next decade will be defined by the powerful combination of science-backed skin and hair care and nutraceuticals,” Varun Alagh, co-founder and CEO of Honasa Consumer Ltd, said in a statement.

Fluence is known for its differentiated and patented cyclic nutritional therapy and strong dermatologist-led distribution network.

It was founded by Amit Bhusari, a nutraceutical expert with over 20 years of category expertise, and Rajendra Singh Rajput, a trichologist (treats human hair and scalp) and dermatologist (treats human skin) and inventor of Cyclic Nutritional Therapy. According to the statement, the brand is prescribed by more than 3,000 dermatologists.

Indian FMCG (Fast Moving Consumer Goods) companies are increasingly entering the nutraceutical space. Industry giant HUL has acquired OZiva, which specializes in plant-based, clean-label nutrition, while Marico has acquired a majority stake in plant-based nutrition and D2C brand Plix. Tata Consumer has acquired Organic India, known for its herbal supplements and organic teas.

Net profit of Gurugram company rises in FY26 200 crore 72.6 crore in the previous year, while operating income increased by a modest 15% YoY. 2,391 crore was achieved thanks to the strong performance of young brands such as The Derma Co and Aqualogica.
